1. ACCEPTANCE OF TERMS

By accessing or using the VICE-VERSA platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our Platform.

VICE-VERSA is operated by VICE-VERSA LIVE ("Company," "we," "us," or "our"), a company registered in the State of Wyoming, United States. These Terms constitute a legally binding agreement between you and the Company.

2. PLATFORM DESCRIPTION

VICE-VERSA is a paid meeting platform that facilitates connections between individuals for various purposes including professional services, networking, dating, friendship, and other lawful activities. Users can set their own hourly rates and engage in virtual or in-person meetings.

VICE-VERSA is not an escort agency, dating agency, employment agency, or a party to any meeting between users. We do not guarantee outcomes, compatibility, or the conduct of any user.

3. ELIGIBILITY

You must be at least 18 years old to use this Platform. By using VICE-VERSA, you represent and warrant that:

You are at least 18 years of age
You have the legal capacity to enter into this agreement
You will provide accurate and truthful information
You will comply with all applicable laws and regulations

4. ACCOUNT REGISTRATION

To use VICE-VERSA, you must create an account and provide accurate information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Immediately notifying us of any unauthorized use
Providing accurate and up-to-date information

We may suspend or terminate accounts we believe are compromised or used in violation of these Terms.

5. IDENTITY VERIFICATION

All users must complete identity verification through Stripe Identity, our third-party verification provider. This may include:

Government-issued photo identification
Facial recognition / biometric verification
Additional verification as required

We reserve the right to suspend or terminate accounts that fail verification. Identity verification reduces risk but does not guarantee the safety or behavior of any user.

6. USER ROLES

For clarity:

A Seller (or "Host") is a user offering time-based meetings and setting their own rates.
A Buyer is a user booking and paying for meetings.

Users may act as both.

7. SUBSCRIPTION TIERS

VICE-VERSA offers the following membership tiers:

BRONZE (Free)
SILVER ($49.99/month)
GOLD ($99.99/month)

Subscription fees are billed via credit or debit card. We reserve the right to modify pricing with reasonable notice.

8. PAYMENT TERMS

8.1 PAYMENT METHODS

All meeting payments are processed using standard payment methods (credit/debit cards and other supported options such as Apple Pay and Google Pay, where available). Course purchases and event tickets are also paid using the same supported methods.

8.2 PLATFORM FEE

A 10% platform transaction fee applies to all meeting transactions, regardless of subscription tier. Hosts receive their agreed rate minus that 10%.

8.3 ESCROW SYSTEM

Meeting payments are held in escrow until meeting completion. Funds are released to the Seller within 72 hours after meeting completion, unless a dispute is filed within the dispute window (see Section 12).

8.4 PAYOUT TIMING

Payouts are processed within 72 hours of meeting completion, subject to:

Active dispute holds
Fraud or verification reviews
Third-party provider issues

8.5 PRICING FREEDOM

Sellers set their own rates with no minimum or maximum restrictions. VICE-VERSA does not guarantee earnings.

8.6 TAXES

You are solely responsible for all taxes, reporting, and compliance related to your earnings or purchases on the Platform. VICE-VERSA does not provide tax advice.

9. REFUNDS & CANCELLATIONS

Refunds are only available in cases of:

Platform technical failures preventing a meeting
Verified fraudulent activity
Violation of these Terms by the other party
Successful dispute resolution in the Buyer's favor

Completed, legitimate meetings are non-refundable.

10. USER CONDUCT

Users agree to:

Conduct themselves professionally and respectfully
Provide services as agreed upon
Arrive punctually for scheduled meetings
Maintain confidentiality when appropriate
Comply with all applicable laws

Users agree NOT to:

Engage in illegal activities
Harass, threaten, stalk, or abuse other users
Provide false or misleading information
Attempt to circumvent platform fees or escrow
Share non-consensual sexual or explicit content
Use the Platform for unauthorized commercial purposes
Impersonate another person
Engage in fraud, money laundering, or sanctioned activity

We may remove content, restrict features, suspend, or permanently terminate accounts for violations.

11. MEETING SAFETY

Users are responsible for their own safety during meetings. We recommend:

Meeting in public places for initial meetings
Informing trusted contacts of meeting details
Trusting your instincts about safety
Reporting any safety concerns immediately

VICE-VERSA does not provide insurance or liability coverage for in-person meetings. You assume all risks associated with meeting others offline. Please review our Safety Guidelines for detailed safety protocols.

12. DISPUTE RESOLUTION

Disputes must be reported within 2 hours of meeting completion via our Meetings Reviews & Help form only.

We will:

Review all evidence provided
Make determinations within 72 hours
Hold funds in escrow during dispute resolution
Make final decisions based on available evidence

13. DIGITAL CONTENT, COURSES & EVENTS

VICE-VERSA may offer digital products including courses, guides, audiobooks, and event tickets.

Unless stated otherwise:

Purchases are for personal use only
You may not redistribute, resell, or reproduce content
Access may be revoked for violations or fraud
Event pricing may vary by subscription tier

14. USER CONTENT & LICENSE

You retain ownership of content you post (text, images, profile information). You grant VICE-VERSA a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content for operating and promoting the Platform.

You represent that you have the rights to post the content and that it does not violate any laws or third-party rights.

15. INTELLECTUAL PROPERTY

The VICE-VERSA platform, including all content, features, branding, software, and functionality, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, reverse engineer, or exploit the Platform except as permitted by law.

16. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which governs the collection, use, and disclosure of your personal information.

17. DISCLAIMERS

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that meetings will occur, that users will behave appropriately, or that outcomes will meet expectations.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR PERSONAL INJURY ARISING FROM YOUR USE OF THE PLATFORM OR ANY MEETING.

19. INDEMNIFICATION

You agree to indemnify and hold harmless VICE-VERSA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your meetings, your content, or your violation of these Terms or applicable laws.

20. TERMINATION

We may terminate or suspend your account at any time for violation of these Terms, suspected fraud, risk management, or legal compliance.

Upon termination:

Your access to the Platform will cease
Pending payments will be processed according to our policies
You remain liable for any outstanding obligations
Sections regarding fees owed, disclaimers, limitation of liability, indemnification, and dispute terms survive termination

21. GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts of Wyoming, unless mandatory law provides otherwise.

22. MODIFICATIONS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform with an updated "Last Updated" date. Continued use constitutes acceptance of modified Terms.
