1. ACCEPTANCE OF TERMS

By accessing or using the VICE-VERSA LIVE platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use our Platform.

​

VICE-VERSA is operated by VICE-VERSA LIVE ("Company," "we," "us," or "our"), a company registered in the State of Wyoming, United States. These Terms constitute a legally binding agreement between you and the Company.

​

2. PLATFORM DESCRIPTION

VICE-VERSA is a paid meeting platform that facilitates connections between individuals for various purposes including professional services, networking, dating, friendship, and other lawful activities. Users can set their own hourly rates and engage in virtual or in-person meetings with people who share their expertise or interest.

​

VICE-VERSA is not an escort agency, dating agency, employment agency, or a party to any meeting between users. We do not guarantee outcomes, compatibility, or the conduct of any user.

​

The VICE-VERSA invite-only application lets members discover each other, propose and book paid meetings, and join group meetings, either virtually or in person. By using the Platform you agree to these Terms.

​

3. INVITE-ONLY ACCESS & ACCOUNTS 

Accounts for the usage of the VICE-VERSA application are created by our administrators only.

 

You will receive your private invitation email with the install link and your credentials after completion of your sign-up process. Change your temporary password at first login and keep your credentials private. You are responsible for all activity on your account.

 

Your VICE-VERSA application account will have your Tier (Bronze, Silver or Gold) attached to it, this Tier may affect features accesses, applicable platform fees and limits. Accounts are personal. Sharing, selling or transferring an account is prohibited.

4. ELIGIBILITY

You must be at least 18 years old to use this Platform. By using VICE-VERSA LIVE, you represent and warrant that:

​

• You are at least 18 years of age

• You have the legal capacity to enter into this agreement

• You will provide accurate and truthful information

• You will comply with all applicable laws and regulations

​

5. ACCOUNT REGISTRATION

To use VICE-VERSA, you must create an account and provide accurate information. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Immediately notifying us of any unauthorized use

• Providing accurate and up-to-date information

​

We may suspend or terminate accounts we believe are compromised or used in violation of these Terms.

​

6. IDENTITY VERIFICATION

All users must complete their identity verification during their sign up process.

 

This may include:

​

• Government-issued photo identification

• Up-to-date selfie with Government-issued photo identification in hands 

• Additional verification as required

 

We reserve the right to suspend or terminate accounts that fail verification. Identity verification reduces risk but does not guarantee the safety or behavior of any user.

7. USER ROLES

For clarity:

​

• A Host is a user offering time-based meetings and setting their own rates.

• A Guest is a user booking and paying for meetings.

​

Users may act as both.

​

8. SUBSCRIPTION TIERS

VICE-VERSA offers the following membership tiers:

​

• BRONZE (Free)​

• SILVER ($49/month)​

• GOLD ($99/month)​

 

Subscription fees are billed via credit or debit card. We reserve the right to modify pricing with reasonable notice.

9. PAYMENT METHODS

All meeting payments are processed using standard payment methods (credit/debit cards and other supported options such as Apple Pay and Google Pay, where available).

10. PLATFORM FEE

VICE-VERSA LIVE operates as a peer-to-peer time-monetization marketplace. For every successful interaction booked on the platform, including Private Meetings (1-on-1) and Group Meetings (both In-Person and Online), VICE-VERSA LIVE levies a flat platform service fee of the gross hourly rate or total spot price set by the Host. This fee is automatically deducted from the transaction total at the moment the escrow balance is released to the Host. 

 

Depending on your membership tier, the applicable platform fee percentages goes as follows :

• BRONZE - 20% platform fee 

• SILVER - 10% platform fee 

• GOLD - 5% platform fee

11. THE SAFE ESCROW INFRASTRUCTURE 

When a Guest initiates a booking proposal by clicking "Instant Book" or "Let's Meet There," and completes the secure checkout process, the total required funds are immediately held securely by the platform in a designated Escrow account.

​

• For Online/Virtual Meetings: Funds remain locked in Escrow until the completion of the booked session duration or until the Host manually triggers the "End Meeting" workflow.

• For In-Person/Group Meetings: The Escrow hold is validated upon arrival at the verified venue via our automated location protocols or secure manual checks.

​

12. GROUPS MEETING EVICTIONS 

​Hosts maintain absolute administrative authority over their organized Group Meetings. A Host reserves the right to evict any Guest from an active session at their sole discretion.

 

Hosts may lock entry, mute guests in virtual meetings, and remove guests from virtual or in-person meetings. Removing a guest automatically opens a dispute. The host must explain the removal and may upload images, audio or video as proof. The removed guest may give their own account and proof. An administrator decides whether the guest is refunded.

 

Hosts may not remove guests to avoid refunds, for discriminatory reasons or in bad faith. Doing so can lead to strikes or termination.

 

If a Host executes an in-app eviction workflow:​

​

• The affected Guest will be instantly removed from the group meeting's Guest list.

• The associated transaction state will be immediately modified to "Evicted" within the platform ledger.

• The dispute process starts. 

​​

No matter what the outcome is, VICE-VERSA LIVE's platform fees stay applicable. 

​

13. PRICING FREEDOM 

Hosts set their own rates with no minimum or maximum restrictions. VICE-VERSA LIVE does not guarantee earnings.

​

14. TAXES

You are solely responsible for all taxes, reporting, and compliance related to your earnings or purchases on the Platform. VICE-VERSA does not provide tax advice.

​

15. REFUNDS & CANCELLATIONS

Refunds are only available in cases of:

• Platform technical failures preventing a meeting

• Verified fraudulent activity

• Violation of these Terms by the other party

• Successful dispute resolution in the Guest's favor

• No-Shows from Hosts ​​​

 

User Reporting / Safety Freezes:

If either party triggers the "Report / End Call" safety valve during an active session due to behavioral or policy violations, the underlying escrow payout is instantly frozen. Funds will remain securely locked by the platform pending a manual audit and binding arbitration by the VICE-VERSA LIVE Administration Team.​

15.1 CANCELLATIONS

​

A confirmed meeting cancelled by either party more than 24 hours before its scheduled start is cancelled with a full refund to the guest, no platform fee applies. If the host cancels a confirmed meeting at any time, including minutes before the start, the cancellation is confirmed with both members and the guest receives a full refund, no platform fee applies.

​

If the guest cancels a confirmed meeting less than 24 hours before its start, the guest receives a 50% refund and the host receives the other 50%, less VICE-VERSA's platform fee, which depends on the host's tier and applies to any amount paid out.

 

Each member may cancel at most two (2) confirmed meetings per calendar month. A third cancellation in the same month locks the member's access to the app. The member may submit a reinstatement request to the VICE-VERSA team for account review.

​

Audio/Video Calls:

A booked call where a member does not respond is retried after 120 seconds and then cancelled after a 2nd failed attempt. The member who did not respond receives a strike, and the other party may be refunded (or paid) after administrator review.

 

Refunds and payouts are processed by VICE-VERSA LIVE after the conduct of transparent administrator verification of dispute submissions, we do not guarantee a refund in any particular case.

16. USER CONDUCT 

Users agree to:

• Conduct themselves professionally and respectfully

• Provide services as agreed upon

• Arrive punctually for scheduled meetings

• Maintain confidentiality when appropriate

• Comply with all applicable laws

​

Users agree NOT to:

• Engage in illegal activities

• Harass, threaten, stalk, or abuse other users

• Provide false or misleading information

• Attempt to circumvent platform fees or escrow

• Share non-consensual sexual or explicit content

• Use the Platform for unauthorized commercial purposes

• Impersonate another person

• Engage in fraud, money laundering, or sanctioned activity

• Record or share another member's call, audio or video without consent

• Scrape, reverse-engineer or interfere with the Platform

We may remove content, restrict features, suspend, or permanently terminate accounts for violations.

​

17. STRIKES, SUSPENSION AND TERMINATION 

We may warn, mute, suspend, lock or terminate accounts that break these Terms, or our Safety Guidelines.

 

Three strikes result in termination and a permanent account lock. A terminated member may request a review by email.

​

We may act immediately for severe or unsafe conduct. Suspended or terminated members may lose access to pending funds where the law allows, subject to dispute review.

​

18. HOW MEETINGS WORK 

One-on-one meetings are proposal-based. A guest proposes a time and format (Virtual or In-Person). The host may accept, decline or counter. Nothing is booked until the host accepts and the guest pays.

​

Group meetings are created by hosts with a price, a spot limit and a format. Guests join through the group's invite card. Hosts may lock entry early. When entry is locked, full, completed or cancelled, the invite shows "Booking Closed".

​

Meetings are between members. We provide the technology and the payment and dispute process, and we are not a party to the meeting itself. Users are responsible for their own safety during meetings. We recommend:

​

• Meeting in public places for initial meetings

• Informing trusted contacts of meeting details

• Trusting your instincts about safety

• Reporting any safety concerns immediately

​

VICE-VERSA does not provide insurance or liability coverage for in-person meetings. You assume all risks associated with meeting others offline. Please review our Safety Guidelines for detailed safety protocols.

​

19. LOCATION FEATURES

Live Map can share your approximate position only while you turn sharing on, for the duration you choose. You can stop at any time. Discovery shows only active, approved members with a recent location.

​

20. IQ - AI ASSISTANT 

IQ is an automated assistant that gives guidance on the Platform. It can make mistakes and does not give legal, financial or safety advice. For more information on what VICE-VERSA IQ is, click HERE.

21. DISPUTE RESOLUTION 

Disputes must be reported within 2 hours of meeting completion via our app. 

 

We will:

• Review all evidence provided

• Make determinations within 72 hours

• Hold funds in escrow during dispute resolution

• Make final decisions based on available evidence

22. USER CONTENT & LICENSE 

You retain ownership of content you post (text, images, profile information). You grant VICE-VERSA a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your content for operating and promoting the Platform.

​

You represent that you have the rights to post the content and that it does not violate any laws or third-party rights.

​

23. INTELLECTUAL PROPERTY 

The VICE-VERSA platform, including all content, features, branding, software, and functionality, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, reverse engineer, or exploit the Platform except as permitted by law.

​

24. PRIVACY 

Your privacy is important to us. Please review our Privacy Policy, which governs the collection, use, and disclosure of your personal information.

​

25. DISCLAIMERS 

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT GUARANTEE THAT MEETINGS WILL OCCUR, THAT USERS WILL BEHAVE APPROPRIATELY, OR THAT OUTCOMES WILL MEET EXPECTATIONS.

​

26. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR PERSONAL INJURY ARISING FROM YOUR USE OF THE PLATFORM OR ANY MEETING.

27. INDEMNIFICATION

You agree to indemnify and hold harmless VICE-VERSA LIVE, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your meetings, your content, or your violation of these Terms or applicable laws.

​

28. TERMINATION 

We may terminate or suspend your account at any time for violation of these Terms, suspected fraud, risk management, or legal compliance.

​

Upon termination:

• Your access to the Platform will cease

• Pending payments will be processed according to our policies

• You remain liable for any outstanding obligations

• Sections regarding fees owed, disclaimers, limitation of liability, indemnification, and dispute terms survive termination

​

29. GOVERNING LAW 

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved in the courts of Wyoming, unless mandatory law provides otherwise.

​

30. MODIFICATIONS 

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform and continued use constitutes acceptance of modified Terms.

31. INDEPENDANT CONTRACTOR RELATIONSHIP

No Employment or Agency Relationship
You explicitly acknowledge and agree that Service Providers and Buyers utilize the Platform as independent business entities. Nothing contained in these Terms of Service shall be construed as creating an employment relationship, partnership, joint venture, agency, franchise, or sales representative relationship between VICE-VERSA LIVE (the "Company") and any user. The Company does not employ, manage, direct, or control any Service Provider or Buyer, nor does the Company dictate their hours, pricing, methods, physical location, or performance of services.

Status of Service Providers
Service Providers offering virtual video-meetings or physical, in-person meetings through the Platform operate strictly as Independent Contractors. As an Independent Contractor, you maintain complete autonomy over how, when, and to whom you offer your services. You are solely responsible for providing all necessary equipment, software, transit, and infrastructure required to perform your services. You possess no authority to bind the Company to any contract, obligation, or liability.​​

Indemnification
You agree to fully indemnify, defend, and hold harmless the Company, its officers, directors, and affiliates from any and all claims, damages, liabilities, losses, or expenses (including legal fees) arising from or relating to:

​

(a) any misclassification of your status as an independent contractor,

(b) your failure to report or pay accurate taxes on earnings,

(c) and any bodily injury, property damage, or dispute resulting from a physical, in-person meeting arranged through the Platform.

 

By using VICE-VERSA, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
